11HERAEUS | FINANCIAL REPORT 2014 | REPORT OF THE SUPERVISORY BOARD The annual financial statements and the management report of Heraeus Holding GmbH and the Heraeus Group for 2014, along with the reports of the auditor, were pro- vided to all members of the Supervisory Board in advance of the meeting on April 22, 2015. The auditors who provided the audit opinion participated in the Supervisory Board’s discussion of the documents to be audited. They reported on the most important findings of their audit and were available during the meeting to answer ques- tions. The Supervisory Board comprehensively reviewed the annual financial statements and management report of Heraeus Holding GmbH for 2014 as well as the consoli- dated financial statements and management report of the Heraeus Group, along with their respective audit reports. Based on the final findings of its own review, there were no objections to be raised. Accordingly, the Supervisory Board approved the single-entity financial statements and management report along with the consolidated financial statements and Group management report. The Supervisory Board reviewed and approved the Board of Management’s proposal for the appropriation of profits. Changes to the Board of Management of Heraeus Holding GmbH In the Supervisory Board meeting on April 29, 2014, Rolf Wetzel was appointed as an additional member of the Board of Management with effect from July 1, 2014. In the Supervisory Board meeting on December 11, 2014, Jan Rinnert was re-appointed as a member of the Board of Management of Heraeus Holding GmbH, and as Chairman of the Board of Management and Labor Director of Heraeus Holding GmbH. The meeting also saw Dr. Roland Gerner appointed as an additional member of the Board of Management of Heraeus Holding GmbH with effect from January 1, 2015. The Supervisory Board would like to offer special thanks to all members of senior management and the works coun- cils of the Heraeus Group, as well as to each and every employee for their hard work and dedication throughout the past year.
